# Client brief: Fernbrook Labs sp. z o.o.

*Fictional. Prepared for the Kepta Legal Engineer task.*

Notes from a 30-minute intake call with Fernbrook's COO, Tomasz, and its Head of Engineering, Karolina. Written up as they said it.

## The company

- Fernbrook Labs sp. z o.o., Warsaw. Software house, about 40 people, most of them on employment contracts, a few on B2B.
- Builds payment and invoicing software for mid-sized retailers.

## The person

- Anna Kowal, senior backend developer. Runs a sole-trader business (JDG), registered last month.
- Anna has worked at Fernbrook on an employment contract for three years, in the Payments team. That contract ends by mutual agreement on 30 November 2026.
- From 1 January 2027 she would continue in the Payments team on a B2B agreement. Tomasz: "Same work, same team, she just invoices us instead."
- Anna asked for B2B herself. She wants the 19% flat tax and to take side projects later. She has no other clients today.

## How the work would run

- Anna joins the team's daily stand-up at 9:30 and is expected to be reachable on Slack during core hours, 10:00 to 16:00.
- She takes a weekly turn on the Payments on-call rota, which Karolina schedules.
- She reviews the code of the two junior developers in the team.
- Karolina keeps doing Anna's annual performance review, "like for everyone else, it keeps the team fair".
- Time off: Fernbrook wants to give her 26 days of paid "breaks" a year, booked in the HR tool and approved by Karolina. Paid days for illness too, "we don't want her working sick".
- She keeps her Fernbrook laptop, email address and Jira account.
- She keeps the Multisport card and private medical cover, "same as employees".

## Money

- A fixed monthly fee of [FEE], invoiced monthly, whatever the month's output.
- Tomasz wants "real consequences" if sprint deliverables are late, and Anna liable for any damage she causes.

## What Fernbrook wants in the agreement

- Exclusivity: no work for other clients "to protect our IP".
- All rights to everything she writes, "in every field of exploitation, including future ones".
- A 12-month non-compete after the agreement ends. Tomasz: "We are not paying for it."
- Three months' notice, "same as she has now".
- Tomasz, at the end of the call: "Please draft it so that it cannot be reclassified as employment. And make it look like the other B2B agreements we have."
